INDIVIDUAL CONSULTANT
ASSIGNMENT TITLE: PROVISION OF LEGAL CONSULTANCY SERVICES

1. The Government of the Republic of Kenya has received financing from the World
Bank toward the cost of the Horn of Africa Ground Water for Resilience Project
(HoAGW4RP), and intends to apply part of the proceeds for the payment of
consulting services for an Individual Consultant – PROVISION OF LEGAL
CONSULTANCY SERVICES
2. The Objective of the Consultancy Services will be to ;
a) Ensure procurement contracts under the project comply with
applicable laws and best practices
b) Provide timely and sound legal advice on various aspects affecting the project
c) Identify and mitigate legal risks
d) Ensure compliance with legal and regulatory frameworks
e) To provide periodic reports on legal matters to the Team Leader of the project.
3. The legal consultant shall undertake the following tasks:
a) Review, draft, and provide legal opinions on procurement contracts
under the project to ensure compliance with national and
international legal standards.
b) Advice on contractual obligations, rights, and risks associated with
procurement processes.
c) Provide legal guidance on regulatory compliance, governance, and
operational issues affecting the project.
d) Offer legal representation in case of negotiation proceedings under the project.
e) Conduct risk assessments and propose mitigation strategies.
f) Draft legal documents, memoranda, and advisory notes as required.
g) Provide training and capacity building on legal issues affecting the project team.
h) Offer legal input on gazettement and water allocation instruments and processes
i) To provide legal advice on MOUs between WRA and WRUAs and
liaising with the office of the Attorney General on WRUAs registration.
j) Provide legal guidance on contract management issues.
k) To support the gazettement and water allocation (legal aspects)
processes for the groundwater conservation areas under the HOAGW4RP
l) To support and guide the MOWSI on the development of legal
instruments for groundwater including but not exclusive to
groundwater management guidelines, codes of practice, groundwater
strategy and transboundary policy.
m) Submit periodic reports summarizing legal issues, risks, and
recommendations to the Chief Executive Officer.
4. The legal consultant is expected to provide the following deliverables:
a) Reviewed Contracts: Legal analysis and review of procurement
contracts, including recommendations for amendments.
b) Legal Opinions: Written legal opinions on various issues as requested.
c) Compliance Reports: Reports on legal compliance with procurement
laws and regulatory requirements.
d) Dispute Resolution Reports: Documentation and recommendations
regarding any disputes handled.
e) Regulatory instruments developed; codes of practices, groundwater management guidelines
f) Training Reports: Reports on training and capacity-building activities conducted.
g) Periodic Reports: Monthly or quarterly legal reports to the Accounting
Officer summarizing key legal issues, risks, and recommendations.

6. The Water Resources Authority now invites eligible individual consultants
(“Consultants”) to indicate their interest in providing the Services. Interested
Consultants should provide information demonstrating that they have the
required qualifications and relevant experience to perform the Services in the
form of curriculum vitae (CV) and other relevant testimonials, including
professional and academic certificates. The legal consultant shall meet the
following qualifications:
a) A recognized degree in law (LLB) and a valid practicing certificate.
b) At least [7] years of experience in legal advisory services, preferably
in procurement and contract law.
c) Demonstrated experience in development of legal instruments
including regulations and guidelines preferably for the water sector.
d) Proven expertise in reviewing contracts and providing legal advice
on procurement matters.
e) Strong knowledge of national and international procurement laws and best practices.
f) Good understanding of the WA 2016 and water resources regulations 2025
g) Excellent communication and report-writing skills.
7. The Consultant(s) will be selected in accordance with the World Bank’s
Procurement Regulations for IPF Borrowers, July 2016, revised November
2017, revised August 2018, and revised November 2020 which can be found at

8. The duration of the legal consultancy services is twelve (12) months, with the
possibility of extension based on performance and project needs. The
consultant shall provide periodic reports every [Monthly/Quarterly] as agreed
with the Team Leader in consultation with the Chief Executive Officer
9. The consultant shall report directly to the Team Leader and work closely with
the project management team. All deliverables shall be submitted in a timely
manner, as per agreed schedules.
10.The consultant’s fees shall be based on agreed deliverables and milestones.
Payments shall be made in accordance with the contract terms and upon
approval of deliverables by the project Team Leader.
11.The consultant must uphold the highest ethical standards and maintain the
confidentiality of all project-related information. Any possible conflicts of
interest must be disclosed at the inception of the contract.
12.Interested legal consultants should submit their proposals, including:
a) A cover letter expressing interest.
b) A detailed CV.
c) References from three previous clients.
13.A Consultant will be selected in accordance with the individual consultant
selection (ICS) method set out in the Procurement Regulations.

15.Expressions of interest must be delivered in a written form to the address
below (in person, or by e-mail) so as to be received on or before Tuesday 26TH
August, 2025 at 1000Hours, Kenya local time. (GMT+3 hours).
16.Expressions of Interest must be submitted in writing in one signed original, two
copies, and an electronic pdf file on a USB flash drive, in a plain sealed envelope
clearly marked “REOI for Provision of Legal Consultancy Services:
Reference No. WRA/HOAGW4RP/CS/INDV/04/2025-2026.” and placed in the
Tender Box on the 10TH Floor, SHA Building, Wing B, Ragati Road off Ngong Road.
17.Interested Consultants are required to continually check the Water Resources
Authority website http://www.info@wra.go.ke for any additional information
or clarification that may arise before the submission date.
